Terms of Service

1. Service Description

Venio is an automated Instagram Direct assistant. It accepts forwarded reels and posts sent as direct messages to the Instagram account @venio_app, reads the public caption, and replies with a Google Maps search URL for the place mentioned in the caption.

Venio is operated by Individual Entrepreneur Vage Oganesyan, registration number 106427723, registered on 20 October 2023 by the LEPL National Agency of Public Registry of Georgia ("we", "us", "Venio"). Throughout these Terms, "you" means the natural person using the service.

All replies are generated by an AI agent. No human reads your message in the normal flow of the service.

2. Eligibility

To use Venio you must be at least 13 years old and hold a valid Instagram account in good standing with Meta. If you are in the European Economic Area and under 16, you must have the consent of a parent or legal guardian to use the service. By sending the first direct message to @venio_app you confirm that you meet these conditions and that you accept these Terms of Service and the Privacy Policy.

We may suspend or terminate your access if we detect, in good faith, that you violate this section. See section 8.

4. User Content and Instagram Data

Venio does not claim ownership of any post, reel, caption, or message you share with it. We process your shared content transiently to produce the Google Maps reply, as described in the Privacy Policy. We do not republish, resell, or otherwise disclose your content to third parties, other than the processors disclosed in the Privacy Policy for the strict purpose of running the service.

5. Intellectual Property

The name "Venio", the Venio logo, the bot's reply templates, the system prompts used to instruct the language model, and the source code of the service are the intellectual property of Individual Entrepreneur Vage Oganesyan. You may not copy, reproduce, or create derivative works from these elements without prior written consent.

Google Maps and Instagram are trademarks of their respective owners and are mentioned for descriptive purposes only.

6. Disclaimers

Venio is provided "as is" and "as available". We make no warranty that the service will be uninterrupted, error-free, or that the place extracted from a caption will be accurate, complete, or current. Language models can hallucinate, misread text, or produce irrelevant output. The Google Maps URL we return is a search query, not a verified destination.

Do not rely on Venio for navigation in safety-critical contexts (driving, emergency response, medical or legal decisions). Always confirm the destination in Google Maps or another authoritative source before acting on it.

7. Limitation of Liability

To the fullest extent permitted by applicable law, our total aggregate liability to you for any claim arising out of or in connection with the service is capped at zero euros (€0), reflecting the fact that Venio is provided free of charge. If you have paid a fee for a premium tier, liability is capped at the amount paid by you in the twelve months preceding the claim.

In no event are we liable for indirect, incidental, special, consequential, or exemplary damages, including but not limited to loss of profits, loss of data, or loss of goodwill, even if we have been advised of the possibility of such damages. Nothing in these Terms excludes or limits liability that cannot be excluded or limited by Georgian law or by the law of your country of residence.

8. Termination

You may terminate your use of Venio at any time by blocking @venio_app on Instagram or by emailing privacy@venioapp.com with the subject "Delete my data". On termination we delete your data as described in the Privacy Policy.

We may suspend or terminate your access to the service, with or without notice, if we detect in good faith that you have violated these Terms, that continued use poses a security risk, or that Meta has instructed us to suspend your access. We will restore access as soon as the cause is resolved.

9. Governing Law and Jurisdiction

These Terms are governed by the laws of Georgia, excluding its conflict-of-law rules. Any dispute arising out of or in connection with the service or these Terms is subject to the exclusive jurisdiction of the courts of Tbilisi, Georgia, without prejudice to any mandatory consumer-protection rules that may apply in your country of residence.

10. Changes to Terms

We may update these Terms to reflect changes in the service or in applicable law. Material changes are announced at least 14 days in advance by updating the "Last updated" date at the top of this page and, where practicable, by a notice in the @venio_app Instagram profile bio. Continued use of Venio after a change takes effect constitutes acceptance of the updated Terms. If you do not accept the change, terminate your use per section 8.
